Terms of Service

These terms govern your access to ReplyLion. By creating an account or using the service, you agree to them. Please read them carefully.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you (or the business you represent) and ReplyLion. If you do not agree to these Terms, do not use the service. If you use ReplyLion on behalf of a company, you confirm that you have authority to bind that company.

2. The service

ReplyLion is a web application that connects to your Google Business Profile, retrieves reviews, generates AI-assisted reply drafts, and publishes replies you approve. Features vary by plan and may change over time. We do not guarantee that any particular feature will remain available on the Free plan.

3. Accounts and eligibility

  • You must be at least 18 years old and capable of entering a contract.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for activity under your account and for keeping credentials secure.
  • You must have authority to connect any Google Business Profile you add to ReplyLion.

4. Google Business Profile access

ReplyLion uses Google OAuth and the official Google Business Profile API. You authorize us to read reviews and profile data and to publish replies on your behalf. You can revoke access at any time from Settings → Google → Disconnect or from your Google account permissions page. Your use of Google services is also governed by Google's terms.

You are responsible for the content you publish, including AI-generated drafts you approve. You must not use the service to post unlawful, misleading, harassing, or discriminatory content, or to violate Google's policies.

5. Subscriptions, trials, and billing

  • Plans and prices: current plans are Free ($0), Pro ($49/month, or $39/month billed annually), and Agency ($99/month, or $79/month billed annually). Prices are in US dollars and exclude applicable taxes.
  • Free plan: includes the limits shown on our pricing page. No credit card is required.
  • Pro trial: the 14-day trial does not require a credit card. At the end of the trial, you choose whether to add payment details and continue.
  • Renewals: paid subscriptions renew automatically at the end of each billing period unless cancelled. By subscribing, you authorize recurring charges through Stripe.
  • Cancellation: you can cancel at any time from Settings → Billing. Access continues until the end of the current paid period, then the account moves to the Free plan. Cancellation fees do not apply.
  • Refunds: except where required by law, payments are non-refundable. If you believe you were charged in error, contact us and we will review it.
  • Price changes: we may change prices with reasonable advance notice. Changes apply to future billing periods.

6. Acceptable use

You agree not to:

  • Use the service for illegal, deceptive, or abusive purposes, including fake reviews or review manipulation.
  • Access accounts or profiles you are not authorized to manage.
  • Attempt to reverse engineer, scrape, overload, or disrupt the service or its infrastructure.
  • Bypass plan limits, resell access without permission, or use the service to build a competing product.
  • Upload malware or content that infringes another person's rights.
  • Post AI-generated content that misrepresents your business, makes false promises, or impersonates a person.

We may suspend or terminate accounts that violate these Terms or create risk for other users, Google, or ReplyLion.

7. AI-generated content

ReplyLion uses third-party AI models to draft replies. AI output can be inaccurate or inappropriate. You are responsible for reviewing every draft before posting. We recommend that you do not rely on AI drafts for legal, medical, or financial advice, and that you follow the review response rules that apply to your industry.

8. Review rankings and business outcomes

ReplyLion helps you respond to reviews, but we do not control Google's ranking algorithms, review policies, or customer behavior. We make no guarantee that using the service will increase your rating, ranking, revenue, or review volume.

9. Intellectual property

ReplyLion, including its software, design, and documentation, is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is active.

You retain ownership of the content you submit and the replies you publish. You grant us a license to process that content solely to operate the service. If you send product feedback, you allow us to use it without obligation to you.

10. Third-party services

ReplyLion integrates with Google, Stripe, and email providers. Their services are governed by their own terms, and we are not responsible for their availability or actions. Any integration may be changed or discontinued if the provider changes its terms or API.

11. Disclaimer of warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law, ReplyLion will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Our total liability for any claim arising from the service will not exceed the amount you paid us in the three months before the claim, or $100 if you used a free plan.

13. Indemnification

You agree to indemnify and hold ReplyLion harmless from claims, damages, and costs arising from your content, your reviews or replies, your violation of these Terms, or your violation of another party's rights.

14. Termination

You can stop using the service at any time. We may suspend or end your access if you materially breach these Terms, if required by law, or if we discontinue the service. On termination, your data is handled according to our Privacy Policy. Sections that by their nature should survive termination will do so.

15. Governing law and disputes

These Terms are governed by the laws applicable where ReplyLion is established, without regard to conflict-of-law principles. Before filing a formal claim, please contact us at legal@replylion.com so we can try to resolve the issue informally.

16. Changes to these terms

We may update these Terms from time to time. If a change is material, we will provide notice by email or in the app. Continued use after the effective date means you accept the updated Terms.
